These Terms of Service govern your use of Mycellia's enterprise AI platform. By using our services, you agree to these terms.

1. Acceptance of Terms: By accessing or using Mycellia's services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use our services.
2. Service Description: Mycellia provides an enterprise AI platform that enables document ingestion, intelligent search, AI-powered chat, knowledge graph construction, and workflow automation. Services are provided on a subscription basis with different tiers (Starter, Business, Enterprise).
3. Account Registration: You must provide accurate and complete information when creating an account. You are responsible for maintaining the confidentiality of your account credentials. You must notify us immediately of any unauthorized access to your account. You represent that you have authority to bind your organization to these terms.
4. Acceptable Use: You agree to use our services only for lawful purposes and in accordance with these terms. You will not upload content that infringes intellectual property rights, contains malware or malicious code, violates privacy or data protection laws, or is illegal, harmful, or offensive. You will not attempt to reverse engineer, decompile, or extract our AI models. You will not exceed usage limits specified in your subscription tier.
5. Data Ownership and License: You retain all ownership rights to your data and documents. By uploading content, you grant us a limited license to process, index, and analyze your data solely to provide our services. We do not use your data to train AI models for other customers. We do not claim ownership of any outputs or insights generated from your data.
6. Intellectual Property: Mycellia retains all rights to our platform, software, AI models, algorithms, and technology. You may not copy, modify, distribute, or create derivative works of our services. You may not remove or alter any proprietary notices on our platform.
7. Subscription and Billing: Services are billed monthly or annually based on your selected plan. Fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in service suspension or termination. Usage exceeding your plan limits may incur additional charges.
8. Service Availability: We strive to maintain 99.9% uptime for Business and Enterprise plans. Scheduled maintenance will be announced in advance. We are not liable for service interruptions caused by third-party providers, force majeure events, or your actions. Enterprise customers receive dedicated SLA guarantees.
9. Data Security and Compliance: We implement industry-standard security measures to protect your data. For Turkish customers, we comply with KVKK requirements. Enterprise customers can choose on-premises or sovereign cloud deployment. We conduct regular security audits and maintain SOC 2 Type II certification. However, no system is completely secure, and you acknowledge inherent risks.
10. Confidentiality: Both parties agree to keep confidential information disclosed during the relationship confidential. Confidential information includes business strategies, technical data, customer information, and pricing. This obligation survives termination of services.
11. Limitation of Liability: To the maximum extent permitted by law, Mycellia shall not be liable for indirect, incidental, consequential, or punitive damages. Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim. This limitation does not apply to gross negligence, willful misconduct, or violation of data protection laws.
12. Warranties and Disclaimers: Services are provided 'as is' without warranties of any kind. We do not warrant that services will be uninterrupted, error-free, or completely secure. We do not guarantee the accuracy of AI-generated outputs. You are responsible for verifying critical information.
13. Termination: Either party may terminate with 30 days' written notice. We may suspend or terminate immediately for breach of these terms, non-payment, or illegal activity. Upon termination, you may export your data within 30 days, after which we will delete your data. Termination does not relieve you of payment obligations for services already rendered.
14. Governing Law and Disputes: These terms are governed by Turkish law for Turkish customers and applicable local law for others. Disputes shall first be resolved through good-faith negotiation. If unresolved, disputes will be submitted to arbitration in Istanbul, Turkey, or your jurisdiction as applicable.
15. Changes to Terms: We may modify these terms with 30 days' notice. Continued use after changes constitutes acceptance. Material changes affecting pricing or data rights will require explicit consent.
